Introduction
These Terms of Service (“Terms”) govern the provision of information technology services by INTCIS Gov LLC to government agencies, public-sector organizations, prime contractors, and subcontractors (collectively, “Customer” or “Client”). By engaging INTCIS Gov services, executing a Statement of Work (SOW), or utilizing our infrastructure, you acknowledge that you have read, understood, and agree to be bound by these Terms. These Terms apply in conjunction with any Master Service Agreement (MSA), SOW, or other contractual documents executed between INTCIS Gov and the Customer.
Acceptance of Terms
By accessing or using any services provided by INTCIS Gov LLC, you affirm that you are authorized to bind your organization to these Terms. If you do not agree to these Terms, you may not use our services. INTCIS Gov reserves the right to modify these Terms at any time. Material changes will be communicated to active clients via email or through updates to service documentation. Continued use of services after such modifications constitutes acceptance of the revised Terms.
Scope of Services
INTCIS Gov LLC provides a range of information technology services tailored to government and public-sector clients. Services are defined in individual Statements of Work (SOWs) and may include, but are not limited to:
- Secure website and application hosting on hardened infrastructure
- Cloud integration and management (AWS, Oracle Cloud Infrastructure, Microsoft Azure)
- Linux infrastructure management and system administration
- DevOps engineering, CI/CD pipeline development, and automation
- Disaster recovery planning, implementation, and testing
- Performance tuning, monitoring, and capacity planning
- ITIL-aligned operational support and incident management
- Security hardening, patch management, and compliance assessments
The specific services provided, service levels, deliverables, and timelines are defined in the applicable SOW. INTCIS Gov will perform services in a professional manner consistent with industry standards and in compliance with applicable federal, state, and local regulations.
Customer Responsibilities
Customers are responsible for:
- Accurate Requirements: Providing complete, accurate, and timely information regarding project requirements, technical specifications, and business objectives
- User Access Management: Managing user accounts, access credentials, and permissions for their organization’s personnel
- Security Recommendations: Following security best practices and recommendations provided by INTCIS Gov, including enabling Multi-Factor Authentication (MFA) where required
- Lawful Use: Ensuring that all use of INTCIS Gov services complies with applicable laws, regulations, and policies, including but not limited to federal acquisition regulations and data protection laws
- Government Guidelines: Adhering to agency-specific security policies, compliance frameworks (e.g., FedRAMP, FISMA, NIST), and operational procedures
- Data Backup: Understanding and accepting responsibility for data backup and recovery procedures as defined in the SOW
- Timely Communication: Promptly notifying INTCIS Gov of any security incidents, system issues, or changes in requirements
Failure to fulfill these responsibilities may impact service delivery, security posture, or project timelines.
Security
INTCIS Gov LLC implements comprehensive security measures to protect Customer data and infrastructure, including:
- Multi-Factor Authentication (MFA): Required for all administrative and privileged access to systems and infrastructure
- CIS Baselines: All systems are hardened according to Center for Internet Security (CIS) benchmarks and best practices
- Cloudflare WAF: Web Application Firewall (WAF) protection, DDoS mitigation, and content delivery network (CDN) services for enhanced security and performance
- Encrypted Backups: All backup data is encrypted at rest using AES-256 or equivalent encryption standards
- Monitoring: Continuous security monitoring, log analysis, and alerting for suspicious activities or security events
- Vulnerability Management: Regular security assessments, vulnerability scanning, and timely patch application
- Access Controls: Least-privilege access principles and role-based access control (RBAC) for all systems
INTCIS Gov will promptly notify Customers of any security incidents that may impact their data or systems, in accordance with contractual obligations and applicable regulations.
Confidentiality
INTCIS Gov LLC and Customer mutually agree to maintain the confidentiality of all proprietary and sensitive information disclosed during the course of service delivery. Confidential information includes, but is not limited to:
- Government agency data, records, and operational information
- Access credentials, encryption keys, and authentication tokens
- System architecture, network topology, and security configurations
- Business processes, procurement information, and strategic plans
- Source code, technical documentation, and intellectual property
Both parties agree not to disclose confidential information to third parties without prior written consent, except as required by law, court order, or regulatory authority. This obligation survives the termination of the service agreement. INTCIS Gov personnel are bound by Non-Disclosure Agreements (NDAs) and security clearances as required by the engagement.
Data Ownership
All data, content, and information uploaded, stored, or generated by the Customer on INTCIS Gov systems remains the exclusive property of the Customer. INTCIS Gov claims no ownership rights over Customer data. INTCIS Gov will not access, use, modify, or disclose Customer data except:
- As necessary to provide the contracted services
- To respond to technical support requests or troubleshoot issues
- To comply with legal obligations or court orders
- With explicit written authorization from the Customer
Upon termination of services, Customer data will be returned or securely destroyed as specified in the SOW and in accordance with data retention policies.
Backups & Disaster Recovery
Backup and disaster recovery services are provided only if explicitly included in the applicable Statement of Work (SOW) or service agreement. When included:
- Backup Frequency: Backup schedules (daily, weekly, etc.) will be defined in the SOW
- Retention Period: Backup retention periods will be specified based on Customer requirements and regulatory compliance needs
- Recovery Time Objective (RTO): Target time for service restoration following an outage or disaster event
- Recovery Point Objective (RPO): Maximum acceptable data loss measured in time (e.g., last 24 hours)
- Disaster Recovery Testing: Periodic testing of backup restoration and disaster recovery procedures as agreed upon
INTCIS Gov will make commercially reasonable efforts to restore services and data according to the defined RTO and RPO. However, recovery timelines may be impacted by the nature of the incident, availability of Customer personnel, and external factors beyond INTCIS Gov’s control.
Limitation of Liability
To the maximum extent permitted by law, INTCIS Gov LLC’s liability under these Terms or any related agreement is subject to the following limitations:
- No Indirect Damages: INTCIS Gov shall not be liable for indirect, incidental, consequential, special, or punitive damages, including but not limited to loss of profits, loss of data, or business interruption, even if advised of the possibility of such damages
- Cloud Provider Outages: INTCIS Gov is not liable for service disruptions caused by third-party cloud providers (AWS, Oracle Cloud, Microsoft Azure) or telecommunications carriers beyond our control
- Disaster Recovery Timing: Recovery time objectives (RTO) are targets, not guarantees. Actual recovery times are dependent on the nature of the incident, Customer infrastructure configuration, and availability of Customer personnel
- Force Majeure: INTCIS Gov is not liable for delays or failures in performance due to causes beyond our reasonable control, including acts of God, natural disasters, terrorism, labor disputes, or government actions
- Cap on Liability: INTCIS Gov’s total aggregate liability shall not exceed the fees paid by Customer for the specific services giving rise to the claim during the twelve (12) months preceding the claim
These limitations apply regardless of the form of action, whether in contract, tort (including negligence), strict liability, or otherwise.
Termination
Either party may terminate services under the following conditions:
- Termination for Convenience: Either party may terminate the agreement with thirty (30) days written notice, or as otherwise specified in the SOW
- Termination for Cause: Either party may terminate immediately if the other party materially breaches the agreement and fails to cure such breach within fifteen (15) days of written notice
- Termination for Non-Payment: INTCIS Gov may suspend or terminate services if Customer fails to pay undisputed invoices within thirty (30) days of the due date
Upon termination:
- Data Return: Customer data will be returned in a commonly used electronic format within thirty (30) days of termination, or as specified in the SOW
- Access Removal: All Customer access credentials and administrative accounts will be disabled immediately upon termination
- Backup Deletion: Backup copies of Customer data will be securely deleted within ninety (90) days of termination, unless longer retention is required by law or regulation
- Final Payment: Customer remains responsible for payment of all fees incurred prior to the termination date
Governing Law
These Terms of Service and any disputes arising out of or related to these Terms or the services provided by INTCIS Gov LLC shall be governed by and construed in accordance with the laws of the State of Texas, without regard to its conflict of law provisions. Any legal action or proceeding arising under these Terms shall be brought exclusively in the state or federal courts located in Travis County, Texas, and the parties hereby consent to the jurisdiction and venue of such courts. If Customer is a federal government agency, the terms shall be interpreted consistently with applicable Federal Acquisition Regulation (FAR) clauses.
